She will join the firm after 24 years in positions of increasing responsibility in the SEC’s Corporate Finance Division, including nearly 15 years leading and then overseeing its Mergers and Acquisitions (OM&A) office. .

As an associate director of Corp Fin since 2015, Anderson oversaw the work of OM&A as well as the Office of International Corporate Finance (OICF) and the Office of Structured Finance. She also led the division’s regulatory initiatives and no-action, interpretation and exemption positions on domestic and cross-border mergers and acquisitions transactions, federal proxy rules and registration requirements, disclosure and reporting rules that apply to foreign issuers and issuers of asset-backed securities. securities. In this role, she also had overall responsibility for overseeing Corp Fin’s disclosure review program for public companies.

Prior to becoming Associate Director, Anderson served for seven years (2008-2015) as Head of OM&A. In this role, she managed SEC regulation of mergers and acquisitions transactions and the application and interpretation of SEC rules relating to takeover bids, mergers, going-private transactions, reorganizations , debt restructurings, declarations of beneficial ownership and contested and non-routine proxy solicitations.
